Help me interpret this non-compete agreement??

In the following non-compete agreement I would be the sub-contractor... the client would be the company where the actual work would be performed and the contractor would be the company by which I would be hired. My questions is: I have seen the same position that this would apply to offered by other "contractors". If I were to sign the below statement, does that mean I can't apply for the position with those other contractors or am I free to do so unitl and if I am actually offered the position. I've read it over and over and I can't come to a conclusion.. hellpppp ;)

Commitments:

 

1.     Sub-Contractor shall not use or disclose to anyone any confidential information regarding Contractor’s business or Contractor’s introduced clients, learned during discussion prior to and/or during the performances of services, without written permission from Contractor, or, until such information becomes a matter of general knowledge (“public domain”).

 

2.     Sub-Contractor agrees that for a period of one (1) year from the date of introduction, or one (1) year from the last day of services provided to the introduced clients, which ever is later, Subcontractor will not, directly or indirectly, provide any products or services to any of the Clients of "name of contractor company" with which Subcontractor had contact through "name of contractor company", if such products or services compete in any way, in whole or in part, with any products or services provided by "name of contractor company". Sub-Contractor further agrees not to solicit, directly or indirectly, business or employment from Contractor’s introduced clients. The term “Client” shall be construed to mean any organization or company, including clients of the client, who could be enlisting the services of Sub-Contractor/its consultants through the Contractor. If contractor does not present an open position to the sub-contractor within 24 hours of the order opening in the client’s system, sub-contractor will be released from the restrictions of this agreement.

 

3.     This agreement will not include permanent positions with any “Client” but will only be in effect for “contracting positions” with said “Clients” above.

 I can see how you're confused. #2 says if you're not offered a position within 24 hours you're released from the non compete clause.:unsure:

 

When in doubt don't sign it. Hopefully someone familiar with this will chime in.
