My wife's new passport just arrived at the embassy. In order to get it she MUST surrender her old passport which has 2 or 3 student visas and I-94. Has anyone been in this situation before? Will she have any problems when we go for the interview with a brand new passport that does not have any visas or anything in it? If asked how is she going to prove that she entered the country legally using her old passport's visa?

I don't know what country your wife's embassy represents but normally (in the case of British passports) the old one is invalidated (including the corners get cut off) so that it cannot be used by your wife or a third party as a form of ID or to travel.

I suggest contacting the embassy in question and asking if their procedures include the return of the passport with the visas and so on, and also make color photocopies of all the relevant pages as well, while you await the return of the new, and possibly old one as well.

I'm an F1 student getting ready to file for AOS. My passport expired last year and I got a new one. They let me keep the old one that shows my F1 visa and I-94, at the German embassy in SF, they just invalidated my old passport by cutting off a corner of the biographical page.

An update:

My wife asked the counselor if she could keep the old passport (invalidated) and get a new passport, the request has been denied. So our question is, should she go for an interview with her old passport (this is where her student visas and I-94 are or should she take a new passport and bring photocopies of the old passport to prove to the officer that she come to the US on legal visas.

Please note the old passport has not expired, her country merely decided to change the passport format, however my wife's old passport is valid for another 1,5 yr

Get her to remover the I-94... that is all you need for the AOS interview, USCIS already know about the visa she came on... photo copy every page of the old one and take those along with the I-94 and her new passport to the interview...
