Not sure if this is too advanced for this forum, but I thought I'd ask anyway as I'm having problems finding the answers elsewhere!

When my visa is approved and I move to the US (hopefully March 2010 - just waiting for the interview), I will be keeping my current full-time employment... but, due to internal legal complications, I will be setting up a business in the US purely for the purposes of invoicing my current UK employer the equivalent of my current UK annual salary. So, in effect, I will be doing the same job as I currently do in the UK, but through my own company rather than being directly employed. This is the only method my current employer could think of to be able to legally keep me employed when I move to the US. It provides them with a barrier against possible US based litigation, and by setting up an LLC, it should give me some security as well.

Firstly, I need to know if this is possible with an LLC?

IF.... I don't do any other work for anyone else, and my only income is from the monthly invoice I send to my current UK employer (which will include business expenses), can I set up my LLC in any state? Or does it have to be the state I will be residing in? My office will be in California, but my only income will be from the UK....

IF I choose to also do some freelance work, then I assume that I will need to have an LLC for the State that my office is in.

The formation of an LLC varies from state to state. So you'll need to speak to an attorney in your state of residence for answers as to the benefits of such an entity. They should also be able to advise you whether there is any advantage to that entity being registered in another state.

You'll also need the assitance of a US tax consultant or accountant.

You might get your best answers from a tax attorney.

if your from california, google california state requirement in forming an LLC. Its quite easy. I filed for the incorporation of my LLC first week of november, it was approved in less than 2 weeks. Its quite easy. I did not hire an attorney. But i have my own accountant to guide me with tax requirements and our banker helped in setting up my EIN and business bank account.

Search SBA, SCORE. Lots of info from these group.

Its quite easy. I did not hire an attorney. But i have my own accountant to guide me with tax requirements and our banker helped in setting up my EIN and business bank account.

The actual formation of a single member LLC does seem fairly straightforward, but it's confirmation that it will be the most suitable option for me is the sticking block, and the bit about which State to form it in - especially if the only payment I receive is from the UK.

Oh well - I can't actually start applying until I have my green card/SSN, so I've got a bit longer to get this resolved :)

There are advantages in setting up your LLC in other states besides CA, namely not having to pay state income tax. An LLC can have 1 client or a million clients it doesn't matter. You will want to get errors and omissions insurance for your LLC, it protects you and your company in UK. Setting up a LLC in CA can be more expensive than some other states, but nomarlly it isn't an issue. Additionally if you have an LLC set up you can then also sign yourself up for an online payroll service that will handle paying all of your income taxes, federal, state, Medicare, Medicaid, social security.
